(ECHO): Johnson Fistel Investigates Proposed Sale of Echo Global Logistics; Is $48.25 a Fair Price?

September 11, 2021 GMT

SAN DIEGO, Sept. 11, 2021 (GLOBE NEWSWIRE) -- Shareholder rights law firm Johnson Fistel, LLP has launched an investigation into whether the board members of Echo Global Logistics, Inc. (NASDAQ: ECHO) (“Echo” or the “Company”) breached their fiduciary duties in connection with the proposed sale of the Company to The Jordan Company, L.P. (“TJC”).

On September 10, 2021, Echo announced that it has entered into a definitive agreement to be acquired by funds managed by The Jordan Company, L.P. Under the terms of the agreement, Echo stockholders will receive $48.25 per share in cash.

The investigation concerns whether the Echo board failed to satisfy its duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for Echo shares of common stock. Nationally recognized, Johnson Fistel is investigating whether the proposed deal represents adequate consideration, especially given analysts’ projections for future earnings and revenue growth.
